Vero Software License Terms

Effective September 14, 2026

These Software License Terms (“License Terms”) govern licenses issued by 424 Solutions LLC (“424 Solutions,” “424,” “we,” “us,” or “our”) for Vero, the Maker Theme, Hat Lab, related theme components, applications, scripts, documentation, updates, and successor products identified as being licensed under these terms (collectively, the “Software”). These License Terms supplement the 424 Solutions Master Services Agreement.

Prospective application: These License Terms apply to licenses issued on or after the effective date and to earlier licenses only when these terms are expressly incorporated into or accepted for that license. They do not, merely by being posted, retroactively replace the terms of a completed earlier transaction.

1. Ownership

The Software is licensed, not sold. 424 retains all right, title, and interest in and to the Software, including its source code, architecture, user interface expression, documentation, original graphics, proprietary workflows, configuration systems, updates, improvements, and other protectable elements. Purchasing or receiving a copy of the Software does not transfer copyright or ownership.

2. License Grant

Subject to payment and compliance with these License Terms, 424 grants the license holder a limited, non-exclusive, non-transferable, non-sublicensable license to install, customize, and use the Software on one approved production website or Shopify store identified with the license, unless the order expressly authorizes additional sites.

Development, staging, preview, or backup copies are permitted only when they are used solely to develop, test, maintain, or restore the same licensed production site. A separate production store, customer store, brand, or business generally requires a separate license unless 424 agrees otherwise in writing.

3. Permitted Contractor Access

The license holder may allow its employees, contractors, or service providers to access the Software solely as needed to work on the licensed site. Those persons may not retain a reusable copy, use the Software for another customer or store, add the Software to their own library or product, distribute it, or exercise rights beyond those granted to the license holder.

4. Restrictions

Except where applicable law expressly prohibits a restriction, you may not:

redistribute, resell, sublicense, rent, lease, publish, share, upload, or otherwise provide the Software or source files to a third party for independent use;
use a single license on more than one production website or store unless the applicable order expressly permits it;
offer the Software, a substantial portion of it, or a modified copy as a theme, template, application, component library, downloadable product, agency asset, marketplace product, or other commercial offering;
remove, disable, evade, or circumvent license checks, activation systems, access controls, proprietary notices, or reasonable technical measures used to enforce the license;
make non-public Software source code or documentation publicly available;
use substantial portions of 424’s copyrighted source code, non-public documentation, proprietary implementation details, or confidential materials to create, train, prompt, generate, assist with, market, or distribute a competing commercial theme, application, builder, customizer, software product, or derivative product; or
knowingly assist another person in violating these restrictions.

5. Independent Development and General Ideas

These License Terms do not give 424 ownership over general ideas, concepts, business methods, common ecommerce functionality, or industry-standard workflows. Nothing here prohibits lawful independent development of a competing or adjacent product where the developer does not copy protected expression, source code, confidential information, or non-public proprietary implementation details belonging to 424.

6. Modifications

You may modify the Software for the licensed site. A modification does not transfer ownership of the underlying Software or expand the license to additional sites. To the extent a modification consists of or is derived from 424 Software, your right to use that modification remains subject to the same license restrictions. You retain ownership of your independently created content, artwork, data, and code that does not incorporate 424 proprietary material.

7. Updates, Versions, and Support

A license does not guarantee perpetual access to every future version, major upgrade, feature, hosted service, app, support plan, or migration service. Eligibility for updates and support is determined by the applicable product description, order, service plan, or written agreement. 424 may maintain multiple supported product generations and may make major versions optional rather than mandatory upgrades.

8. Third-Party Components

The Software may include or interoperate with third-party or open-source components. Those components remain subject to their applicable licenses. Nothing in these License Terms is intended to restrict rights granted directly under an applicable open-source license.

9. License Enforcement and Termination

424 may suspend activation, updates, support, or licensed use for a material breach. Where a breach is reasonably curable, 424 may provide notice and a reasonable opportunity to cure. Intentional unauthorized redistribution, sublicensing, multi-store deployment, circumvention of license controls, or commercial reuse of 424 proprietary source code may result in immediate suspension or termination where permitted by law.

Upon termination, the license holder must stop unauthorized use and remove unlicensed copies. Termination does not transfer ownership of the Software and does not limit remedies available for infringement, misuse of confidential information, or breach.

10. Warranty and Liability

Except for an express written warranty provided with a specific order, the Software is provided “as is” and “as available” to the fullest extent permitted by law. 424 does not warrant uninterrupted operation or compatibility with every future Shopify, browser, app, API, device, or third-party change.

Limitations of liability, dispute-resolution provisions, and other general contractual terms in the 424 Solutions Master Services Agreement apply to the extent relevant to the Software license.

11. Governing Law

These License Terms are governed by New Jersey law, consistent with the 424 Solutions Master Services Agreement. Venue and dispute-resolution provisions in that agreement apply unless a different written agreement controls.
